Contract Specialist

The Contract Specialist is responsible for drafting, reviewing, and redline of a variety of contracts and sub-contracts including but not limited to NDAs, Standard Terms and Conditions, License Agreements, Professional Services Agreements, Lien Waivers, and Vendor Agreements. This role involves contract lifecycle management and workflow, as well as complex invoice research and Accounts Receivable support.

Essential Functions

  • Contract and Subcontract review, redline, and follow up with appropriate team members.
  • Performs preliminary research on contract-related questions and issues as requested.
  • Ensures approvals and execution of contracts in a timely manner in accordance with CM3 and customer policies and procedures.
  • Responsible for the evaluation of legal and business risk issues, and the management of contract intake and workflow.
  • Works across multiple teams within CM3 to facilitate an effective and efficient contracting process.
  • Maintain confidentiality of all contracts.
  • Assist with questions and issues regarding Confidential Disclosure Agreements (CDAs), Statement of Work (SOWs), standard terms and conditions, and schedules.
  • Work within company systems/software to maintain and update contractual records.
  • Maintain current knowledge of organizational policies and procedures, federal and state policies and directives, and basic accounting standards.
  • Assist in the maintenance of a database of contract templates.
  • Work with other departments such as Sales, Finance, Operations, and IT to mitigate contract management risks.
  • Assist with protecting the company’s claim rights for accounts receivable invoices and assist with the collection of the companies aged receivables.
  • Other duties as assigned.

Job Requirements & Education

  • Bachelor’s degree in business, law, or a related field is strongly preferred
  • Paralegal certificate or equivalent is encouraged
  • 2+ years of contract management experience
  • Advanced experience with Microsoft Office Suite
  • Excellent analytical and critical thinking skills
  • Strong written and verbal communication skills
  • Strong interpersonal skills and the ability to communicate with senior management
  • Excels at multi-tasking and has excellent project management, time management, and organization skills

Work Environment

The work area is an office environment with computers, phones, filing cabinets, desks/chairs, and typical office layout.

While performing the duties of this job, the employee is regularly required to sit, stand, kneel, and crouch (if necessary for filing). Occasional lifting (up to 10 pounds), manual dexterity for data entry, writing, holding/operating office equipment, and phones.
